Abstract

Oil licensing contracts are among the most significant international agreements governing the exploitation of natural resources due to their pivotal role in promoting the economic development of oil-producing countries, attracting foreign investment, and facilitating the transfer of technology and technical expertise. Owing to the complex legal and economic nature of these contracts, their long-term duration, and the multiplicity of reciprocal obligations imposed upon the contracting parties, they are particularly susceptible to disputes arising from divergent interpretations of contractual provisions, breaches of contractual obligations, or changes in the economic, technical, or legislative circumstances affecting contract performance. Consequently, amicable dispute resolution methods have emerged as modern legal mechanisms aimed at containing disputes at their early stages, preserving the contractual relationship, and avoiding the adverse consequences associated with litigation or arbitration. This study aims to examine the legal framework governing amicable methods for settling disputes arising from oil licensing contracts and to analyze their principal forms, namely negotiation, conciliation, mediation, and expert determination, while identifying the legal foundations upon which these mechanisms are based in national legislation, international agreements, and oil licensing contracts. Furthermore, the study evaluates the effectiveness of these methods in maintaining a fair balance between the interests of oil-producing states and foreign oil companies, highlighting both their practical advantages and inherent limitations. It also explores the extent to which these mechanisms contribute to contractual stability and ensure the continuity of petroleum projects. The research adopts both the descriptive-analytical and comparative approaches through an examination of relevant legal provisions, international conventions, and oil licensing contracts, together with a comparison of selected national legal systems, in order to provide a comprehensive assessment of the adequacy of amicable dispute resolution mechanisms in resolving petroleum disputes and to identify the principal challenges associated with their practical implementation.
